1. Provision of Technology Services
Proficient Technology, LLC agrees to provide specific technology services (such as managed IT support, infrastructure projects, cloud migrations, or security assessments) as detailed in your Statement of Work, order form, or service agreement. Because IT environments rely on third-party vendors, networks, and platforms, timelines and outcomes may be described as estimates where external factors apply.
2. Client Responsibilities and Access
Successful delivery requires cooperation. The client agrees to provide Proficient Technology, LLC with timely access to systems, credentials, documentation, and approvals reasonably needed to perform the services. Proficient Technology, LLC is not responsible for delays resulting from the client’s failure to provide access, accurate information, or timely decisions.
3. Payment Terms
Unless expressly stated otherwise in your agreement, fees are billed according to the schedule in your contract. Non-payment may result in suspension of services after notice where permitted by agreement and applicable law. Third-party licenses, cloud consumption, or hardware purchases may be billed separately or reimbursed as agreed in writing.
4. Intellectual Property
Upon full payment of applicable fees, the client typically retains ownership of deliverables created specifically for the client (such as documentation or configurations prepared for their environment), subject to any third-party materials embedded therein. Proficient Technology, LLC retains rights to its general methodologies, tools, and reusable frameworks developed independently of any single client engagement.
